Module 2: Manage the Interplay Between Indemnity, Insurance and Limitations of Liability in Contract Negotiations

Often, contract review and negotiations are delayed due to these clauses: indemnity, insurance, limitations of liability, and warranty. In this course, you will evaluate the relative importance of each clause and how to maintain a balance among them without losing the effectiveness of all. Additionally, you will receive an overview on how to exercise the indemnity provision in a contract and provide a basic outline and timeline, with best practices for handling indemnity suit filing from each party's position.

Module 3: Safeguard Your Company's Profits with International Distribution Chains & Contracts

This course will address how law departments in multinational corporations can add business value by designing distribution and sales agent contracts to protect the company's profit margins and brand position. Sample clauses for your distributor, reseller, and authorized representative contracts will be suggested, together with important differences between distributor, reseller, and representative agreements. Compliance matters that should be addressed with distributors, resellers and authorized representatives will be examined, as will considerations for compliance, and other issues at every point along a distribution chain.

Module 4: A Primer on Electronic Transactions and Electronic Signatures

Can legal documents be signed electronically? What is necessary to qualify as an electronic signature? Is there language I need to include in the agreement to facilitate an electronic signature?
