Module 1: Investigations from Afar: Pointers & Pitfalls for Remote Investigations

The new reality for employers is that many workplace investigations are being conducted remotely (and likely will continue this way for some time). While many in-house counsel have adapted to this new way of operating, there are still numerous obstacles that can threaten the integrity of an investigation, both from a technological and human standpoint. In this module, you will discover best practices for conducting even the most challenging remote workplace investigation, including ensuring that interviews are conducted appropriately, assessing credibility without being in person, and avoiding pitfalls that could jeopardize the investigation. Additionally, this module covers strategies for global investigations, where issues like language and cultural differences can amplify the challenges for in-house counsel in a remote environment.

Module 2: The Intersection of Ethics & Technology

In-house counsel are facing new and unique ethical challenges arising from a rapidly changing business and technology environment. This module focuses on the ethical issues presented by technology transactions, including ethical responsibilities in technology contract negotiations and compliance. You will review relevant model rules and ABA opinions, as well as situational scenarios that corporate counsel at any level may encounter including AI, data breaches, and social media, as well as provide guidance on how in-house counsel can work with their business partners within the context of the model rules.

Module 3: IP Indemnification Provisions, Hot Topics, & Negotiating Strategies

IP indemnification continues to be an issue that regularly arises for in-house counsel on a global basis. This module addresses provisions that demand particular attention, ways to resolve differences over those provisions, and global hot topics in the area. Module instructors experienced in considering and negotiating IP indemnification provisions tackle these topics and discuss negotiating strategies for indemnification and related provisions, such as warranties.

Module 4: Avoiding Common Pitfalls When Cooperating with Government Investigations

Before opening a dialogue with the government, corporate practitioners should ensure they understand potential risks as well as possible rewards of cooperation with the US government. This module teaches you tangible ways to be clear about regulators’ expectations and prepare them to meet those expectations including policies governing messaging tools used by employees and raising data privacy restrictions for discussion with US regulators.

Module 5: All Equity, All the Time: Everything You Wanted to Know About Equity Incentive Plans & Awards

This module will help you understand the basics of implementing and maintaining equity incentive plans at both private and public companies. Topics include the basic terms of incentive plans, the types of awards issued under these plans, and the approvals required to implement them. Plus, you will uncover concerns when drafting an incentive plan and granting awards, including securities laws applicable to equity plans and equity awards, issuing grants to foreign employees, and the nuts and bolts of day-to-day administration.

Module 6: The Legal Do’s & Don’ts of Volunteer Programs

Volunteering has become commonplace in corporate culture because it allows individuals to support causes they care about, for-profits to engage and motivate their workforce, and nonprofits to augment their impact. In this module, experts from both for-profit and nonprofit counsel examine the opportunities and pitfalls of running an employee volunteer program and hosting volunteers. Plus, you will review the policies and procedures to establish at your company, how to handle risk, and how to drive engagement.

Module 7: Career Growth & Development for the Next Generation

Strong leaders want to see talented people in their department succeed, and star performers want strong mentors and champions. This module explores career growth and development from two perspectives: that of the star performer looking to ascend, and that of the general counsel planning for succession while growing future leaders both inside and outside of the legal department.
