Course Modules:

Module 1: Key Employment Issues Part II: When Trouble Arises

In this next-phase learning of key employment issues, you’ll obtain a roadmap for navigating difficult issues that can arise in your in-house counsel role. Key areas to be explored:

  • Practical tips for managing employment litigation, domestically and across borders
  • The basics of investigating internal complaints, preparing, and responding to government inspections or investigations, and avoiding retaliation claims
  • How to use incentives to improve employees’ conduct, best practices for termination, and severance agreements

Module 2: Outside Counsel Management

Learn tips for selecting, evaluating, comparing, and retaining the outside counsel that best suit the organizational needs of your company (including through competitive processes such as Requests for Proposals). Plus, this module will: 

  • Examine the benefits and pitfalls of legal process outsourcing (LPO) and learn how to recognize when it’s time to bring in an expert
  • Explore value-based fees and how they can align internal and external incentives and consider which types of value fees are best for different types of work
  • Show you how to work with outside counsel to scope the work, set budgets that stick, monitor progress, and conduct after-action reviews to drive strong performance
  • Help you understand metrics selection and use

Module 3: Managing Risk and Compliance

In this module, you will discover what an effective compliance and risk management program comprises, and how to build and maintain one. Plus, you will:

  • Learn how to implement and maintain monitoring mechanisms and audit plans
  • See the implications of compliance reporting channels, e.g., reports to the general counsel/chief legal officer vs. reports to the chief compliance officer
  • Understand how experienced in-house counsel respond to regulators’ requests and calibrate information disclosure

Module 4: Corporate Finance for In-house Counsel

In this module, you will advance your ability to use financial information to make decisions in your everyday work. You will also:

  • Develop your strategic acumen by gaining a better understanding of key corporate finance tools that business teams use to make value-based decisions
  • Explore the analytical tools that indicate whether a new project will create value, such as: Net Present Value (NPV), Internal Rate of Return (IRR), Payback Period, and Economic Value Added (EVA)

Module 5: Developing General Counsel Skills

In this module, you’ll get a sneak peek into your future career as you explore strategies to develop the legal, business, leadership, and interpersonal skills required to succeed as in-house counsel and lead the law department and the business. Plus, you’ll:

  • Uncover the pitfalls that could hinder your development toward a general counsel role
  • Learn practical tips on interacting effectively with a board of directors
  • Hear how peers develop relationships with their corporate stakeholders
  • Obtain insight into how to improve your time management, prioritize work, and effectively communicate about your time investment and priorities
