You negotiated and executed a contract and now that contract is in litigation, what does that mean for your company?

This program will:
•    Discuss litigation hold and its application for the company.
•    Explore document preservation, including the preservation of drafts, emails and internal company documents.
•    Discuss who becomes a witness and how the witness will prepare, including both business and in-house counsel.
•    Explore the interplay and application of attorney-client privilege and work product doctrine, especially when the negotiations of the contract are being discovered.
•    Discuss handling ambiguities, identifying them before litigation, developing parole evidence, and fixing them for the next contract.
•    Explore ethics issues involving document preservation, the role of in-house counsel, and representation issues for outside counsel.


Speakers

Michelle D. Gambino, Shareholder, Greenberg Traurig, LLP
Michelle is a first-chair trial attorney with a diverse practice focusing on highly sophisticated and complex commercial litigation matters with an emphasis in business, employment, construction, real estate and financial services disputes. She is highly regarded among her fellow colleagues, clients, and others in the legal industry. Michelle is routinely selected to represent some of the most diverse clients in “bet-the-company” type disputes and/or in highly publicized matters. In addition to working with a broad client base, she works on both sides of the docket in state and federal courts, at both trial court and appellate levels. Michelle regularly represents Fortune 500 businesses, tech companies, municipalities, federally regulated banking institutions, developers, utilities, media companies, national retailers, insurers, and other publicly or privately held companies in matters involving breach of contract, unfair competition, fraud, misappropriation of trade secrets, breach of fiduciary duty, negligence and conspiracy.

Howard K. Jeruchimowitz, Shareholder, Greenberg Traurig, LLP
Howard is a commercial litigator with an emphasis in the Real Estate, Construction, and Financial Services Litigation practices. He represents owners, developers, landlords and tenants in landlord-tenant and shopping center disputes, mechanics liens, foreclosures, and construction disputes, as well as banks and lenders in bank and mortgage litigation, such as mortgage fraud, commercial and residential foreclosures, mechanics lien and FDCPA issues. Howard also represents business owners in LLC and shareholder disputes, including direct and derivative claims. Howard has deep experience with post-judgment proceedings and asset-recovery litigation, including fraudulent transfer, alter ego and veil piercing litigation. He has a wide range of experience in trials in both state and federal courts, as well as arbitrations and mediation. Howard serves as the pro bono coordinator for the firm’s Chicago office.

Jason P. Shaffer, Assistant General Counsel, JPMorgan Chase & Co.
Jason is Executive Director and Assistant General Counsel at JPMorgan Chase & Co., a leading global financial services firm with operations servicing clients in more than 100 countries. In his role, Jason manages the litigation portfolios for Consumer Banking, Digital and Retail Real Estate. This includes handling disputes and legal support spanning across deposit account products and services, centralized operations functions for the Consumer and Community Banking division, branch-related real estate litigation, digital and mobile services, and patents. He also previously managed the litigation portfolio for Chase Wealth Management and its retail investment accounts and wealth management advisory services.  Finally, Jason also has experience in managing large, internal investigations involving JPMorgan Chase & Co. and its subsidiaries.
