In a traditional software licensing or hardware purchase engagement, the service provider installs the software or equipment in the customer’s environment. Cloud computing involves accessing a provider’s software and infrastructure remotely and often includes storing the customer’s data with that provider. Learn why these structural differences mean you need to think differently about how to license, what business risks to prioritize and address in your license agreements, and what contractual remedies you need to ensure business continuity and protection against liability.
This program will provide content to enable experienced attorneys to develop and maintain legal skills related to the negotiation and drafting of contracts in the practice areas of technology transactions and cloud licensing. The program will provide attorneys with an understanding of general structural differences between various cloud computing structures to improve practice management and better counsel and advise on appropriate strategies. Specifically, discussion will involve practice pointers to assist with problem solving, legal analysis and reasoning, drafting of transactional documents, and counseling clients related to license grants, termination rights, and common risks and remedies.
