Digital Transformation and the Data Economy are principles rapidly moving to the forefront in our global marketplace. BakerHostetler has assembled a multi-disciplinary team that provides practical and focused guidance to its clients through the uncertain waters of these business transformations. In this one-hour CLE, BakerHostetler will help identify issues with regard to acquiring and divesting companies that digital transformation has made desirable targets, and the subsequent management of legal work necessary to ensure the success of acquired targets, including:
- Ensuring target companies have responsible data governance strategies and policies, and techniques for assessing the value of a target's data;
- Ensuring data governance policies and procedures are properly communicated, enforced and tested;
- Identifying restrictions on operationalizing and monetizing data across multiple industries, including federal and state law restrictions on specific industries such as telecommunications, healthcare and financial services;
- Resolving software licensing and intellectual property (IP) ownership shortfalls;
- Ensuring agreements with counterparties contain appropriate protections and remedies if IP is misused or if proprietary data is improperly secured; and
- Evaluating critical contractual arrangements to determine whether consumer privacy, trade secrets and antitrust issues are appropriately addressed and risk-allocation measures are present.
