In this environment, it is imperative for in-house lawyers to be able to identify, manage and communicate the risks associated with these transactions to relevant stakeholders. An understanding of the taxation risks arising from these transactions is critical and invariably extends beyond the structuring of these transactions to the careful drafting of the supporting legal documentation.
You are invited to join Gilbert + Tobin’s market leading tax team for a live webinar which will provide an overview of the key tax opportunities and watchouts (and relevant legal drafting considerations) associated with:
- various common corporate transactions including top hats, spin offs, recapitalisations, restructures, and employee equity plans; and
- financing transactions including characterisation as debt or equity for tax purposes and cross border considerations such as transfer pricing and withholding tax.
This webinar will provide practical guidance which will enable in-house legal counsel to collectively plan for and implement these transactions, while mitigating the risk of any adverse tax outcomes.

Julian Cheng, Tax Partner, Gilbert + Tobin
Julian is a Partner in the Tax group of Gilbert + Tobin with over 20 years’ experience in providing tax advisory services. He has extensive experience in advising on mergers and acquisitions, corporate restructures, cross border investments and financing, and fund structuring.
Julian joined Gilbert + Tobin in 2020. His previous roles included 9 years as a tax partner with a Big 4 chartered accounting firm including 2 years as head of the firm’s Australian tax desk in New York providing Australian tax assistance and advice to US corporate groups and funds.
Muhunthan Kanagaratnam, Tax Partner, Gilbert + Tobin
Muhunthan heads Gilbert + Tobin’s Tax practice. He has extensive experience advising clients across a wide range of industries. His specialties are mergers and acquisitions and tax disputes, with a strong focus on non-routine tax advisory work.
Muhunthan regularly presents at conferences for The Tax Institute and has written training materials for the Institute of Chartered Accountants in Australia. He has also represented CPA Australia in Treasury consultation and has participated in other Treasury forums
