Overview (Program Summary)

A program hosted by:

ACC Australia

Corporate groups are preparing for a post-pandemic world by restructuring, demerging, refinancing and seeking to incentivise top talent by providing them with a stake in the business. In this environment, it is imperative for in-house lawyers to be able to identify, manage and communicate the risks associated with these transactions to relevant stakeholders. An understanding of the taxation risks arising from these transactions is critical and invariably extends beyond the structuring of these transactions to the careful drafting of the supporting legal documentation.

You are invited to join Gilbert + Tobin’s market leading tax team for a live webinar which will provide an overview of the key tax opportunities and watchouts (and relevant legal drafting considerations) associated with:

  • various common corporate transactions including top hats, spin offs, recapitalisations, restructures, and employee equity plans; and
  • financing transactions including characterisation as debt or equity for tax purposes and cross border considerations such as transfer pricing and withholding tax.

This webinar will provide practical guidance which will enable in-house legal counsel to collectively plan for and implement these transactions, while mitigating the risk of any adverse tax outcomes.
