Overview (Program Summary)

ACC AustraliaIn-house counsel must consider a range of competition and consumer law principles when negotiating and entering into commercial contracts, or risk their organisation attracting complaints from customers and even scrutiny from the ACCC.
This CPD event, hosted by Gilbert + Tobin’s market leading Competition + Regulation team, will alert inhouse counsel to some key risks and will explore the answers to the following questions:
• Do the consumer guarantees apply?
• Am I being false or misleading? Is my counterparty?
• Am I deviating from the norms of acceptable commercial behaviour so as to risk being unconscionable? Is my counterparty?
• Is this a standard form contract with an individual or small business? Does it contain unfair terms?
• Does the interaction of this contract with other similar contracts (rebate or exclusivity provisions) have a potential effect upon competition?
• Does this contract contain a cartel provision?

Speakers
Susan Jones, Partner, Competition + Regulation
Susan specialises in competition law with particular expertise advising clients in relation to mergers and acquisitions, licensing agreements, patent enforcement and regulatory strategies, manufacturing and distribution arrangements and investigations of cartel conduct and concerted practices. Susan has extensive industry experience in pharmaceuticals and healthcare.
Susan was recognised in the 2021 edition of Women in Antitrust by the Global Competition Review, was profiled in the Global Competition Review’s Corporate Counsel 2019 quadrennial list of the top in-house antitrust lawyers in the world and is listed in W@Competition’s 40 in their 40s list of Notable Women Competition Professionals in Europe, Americas and Africa.
Susan co-authored the Australian chapter for Lexology/Getting the Deal Through’s “Digital Health 2022” publication. Susan also contributed a chapter to GCR’s Asia-Pacific Antitrust Review 2022 titled “Asia-Pacific Pharmaceuticals Overview” earlier this year.
She is a member of the Mergers Working Group of the International Bar Association’s Antitrust Section and is also member of the Global Competition Review editorial board.
Jeremy Jose, Partner, Competition + Regulation
Jeremy specialises in competition and consumer law and market regulation.
Jeremy has advised on a range of high-profile matters including Anheuser-Busch InBev’s sale of CUB to Asahi, Tabcorp’s acquisition of Tatts, ACCC investigations into alleged criminal cartel and anti-competitive bundling conduct and various matters relating to electricity, gas, water and infrastructure regulation.
Prior to joining Gilbert + Tobin in 2016, Jeremy worked at the ACCC for 9 years in a variety of roles including 6 years as a senior member of the ACCC’s merger review team. During that time, Jeremy was involved in the assessment of many large and complex transactions including BG / Shell, Foxtel / Austar, AGL / Macquarie Generation and BHPB – Rio Tinto (iron ore JV). He also had a leading role in the ACCC’s East Coast Gas Inquiry.
Jeremy was recently the co-author of The Energy Regulation & Markets Review – 10th Edition – Australia by The Law Review and also leads and co-authors Gilbert + Tobin’s monthly “Energy Market Update”.
