Overview (Program Summary)

Australia’s changing geo-political situation is evident in the intensification of regulation around critical infrastructure assets including energy, water, healthcare, data, finance, space, defence and more.  The Government has identified a need for greater critical asset self-sufficiency and resilience, leading to stronger intervention powers by government and regulators in investment approvals and operational risks around data and cyber security.

This session, hosted by Gilbert + Tobin, will explore:

  • the recently enacted legislation which requires owners to provide control and operational information about the critical infrastructure asset, rendering them subject to enhanced cyber security obligations; and 
  • the implications for investment in the sector, including approvals under the Foreign Acquisitions and Takeovers Act and new regulatory risks for asset owners.

Speakers

Lesley Sutton

Lesley Sutton, Partner, Technology + Digital, Gilbert + Tobin

Lesley is an expert on the Australia’s Security of Critical Infrastructure Act (SOCI) reforms and how this new legislation impacts businesses operating in Australia. She has advised a number of agencies on what they will need to do to comply.

Lesley is also a specialist in large scale procurement projects focusing on the acquisition of IT and communications technology, with a focus on the financial services and government sectors. Her practice includes IT and business process outsourcing and offshoring, systems development and integration, software and hardware procurement and support, cloud computing and “As a Service” arrangements, innovation projects, alliance contracting, telecommunications facilities access and network rollout agreements. 

Lesley’s practice also has a regulatory component including media and telecommunications regulatory advice, privacy, big data and cybersecurity advice and advice on blockchain, artificial intelligence and the internet of things.
 

Tim Gordon

Tim Gordon, Partner, Corporate Advisory, Gilbert + Tobin

Tim advises listed companies and Australian and offshore private equity fund managers in relation to mergers and acquisitions, capital raisings, joint ventures, corporate restructurings and regulatory investigations with a focus on transactions in critical and highly regulated sectors. 

He is a member of the Law Committee of the AICD, the Securities Law Committee of the International Bar Association and is a regular commentator in the media on corporate governance. Tim is a director of Watertrust Australia, a national water and catchment policy body.

 

Deborah Johns

Deborah Johns, Partner, Corporate Advisory, Gilbert + Tobin

Deborah is an expert in matters relating to the Foreign Acquisitions and Takeovers Act 1975 (Cth) and is a member of the Law Council’s Foreign Investment Committee. Deborah has led the firm’s participation in the consultation processes in relation to amendments to Australia’s foreign investment rules. She has advised on countless FIRB applications and combines her expertise in fund structuring with her knowledge of the foreign investment rules to assist private equity funds in particular to navigate the regime.  

Deborah also edits the firm’s Doing Business in Australia guide and Foreign Investment Guide.

In addition to her work on foreign investment approvals, Deborah handles a broad range of corporate and commercial matters, including funds establishment, as well as venture capital and M&A transactions on behalf of her fund clients. She has represented numerous fund managers and investors and has extensive experience with establishing different fund vehicles, including ESVCLPs, VCLPs, trusts and offshore entities.
