More than ever, companies are changing the way they engage and do business with each another, and are seeking to negotiate a strategic alliance which is mutually beneficial. This has resulted in the evolution of a range of different forms of contracting arrangements, particularly in the B2B context.  

This webinar, hosted by Gilbert + Tobin’s leading M+A and Competition + Regulation teams, will equip in-house counsel with some key skills to draw on when negotiating a strategic alliance.  The session will:

  • cover the different ways a strategic alliance can be structured, including unincorporated joint ventures, cost / revenue sharing arrangements, alliance agreements and joint investment vehicles / equity sharing;
  • provide guidance on the most appropriate structure in a range of contexts; and 
  • explore issues to consider and traps to be mindful of. 


Speakers

Susan Jones

Susan Jones, Partner, Gilbert + Tobin

Susan is a Partner in Gilbert + Tobin’s Competition and Regulation group. She specialises in competition law with particular expertise advising clients in relation to mergers and acquisitions, licensing agreements, patent enforcement and regulatory strategies, manufacturing and distribution arrangements and investigations of cartel conduct and concerted practices. Susan has extensive industry experience in pharmaceuticals and healthcare.

Susan was recognised in the 2021 edition of Women in Antitrust by the Global Competition Review, was profiled in the Global Competition Review’s Corporate Counsel 2019 quadrennial list of the top in-house antitrust lawyers in the world and listed in W@Competition’s 40 in their 40s list of Notable Women Competition Professionals in Europe, Americas and Africa.  

She is a member of the Mergers Working Group of the International Bar Association’s Antitrust Section and is also member of the Global Competition Review editorial board.
 

Ben Macdonald

Ben Macdonald, Partner, Gilbert + Tobin

Ben is a partner in Gilbert + Tobin's Corporate Advisory / M+A group. He specialises in mergers and acquisitions, energy/resources, foreign investment and corporate law. He regularly advises on M+A (public and private), joint ventures, corporate restructurings, FIRB, directors duties and corporate governance matters. His clients include listed companies, global companies, private equity groups and start-ups.   

Ben is recognised as a leading lawyer for mergers + acquisitions and corporate law by Best Lawyers and is ranked by Legal 500 Asia Pacific in the Corporate and M+A category. 

Ben is a member of the Melbourne University Law School Advisory Council.

 

Sam Kings

Sam Kings, Special Counsel, Gilbert + Tobin

Sam is a special counsel in Gilbert + Tobin’s Corporate Advisory / M+A group. 

Sam uses his flexible skillset to help clients structure, negotiate and execute strategic corporate transactions. His practice centres on M+A (public and private), equity capital fundraisings, corporate governance matters and demergers. His clients include listed companies and financial investors across a range of industries.

Sam has good relationships with the various Australian corporate regulators which he uses to help his clients navigate the approvals processes. Sam also has extensive experience advising on Takeovers Panel matters.
