A key understanding of these developments is essential not only to minimise potential liability for a claim of a breach of these duties but also to manage reputational risk for corporations and the individuals involved.
This webinar, hosted by Gilbert + Tobin’s award-winning Corporate Advisory team, will bring you right up to speed on recent developments in director and officer duties and liabilities and will include:
- a refresher on D+O liability;
- noteworthy developments in case law around directors’ duties;
- changes to D+O liability under the continuous disclosure regime;
- issues with ‘greenwashing’, and why directors and officers should be alive to litigation risks;
- issues presented by cyber-attacks and data breaches; and
- some key directors’ duties issues in corporate control transactions (if time permits!).

Adam D’Andreti, Partner, Gilbert + Tobin
Adam is a partner in Gilbert + Tobin’s Corporate Advisory group.
Adam specialises in acting on equity capital markets transactions and advising on Australian securities law issues. He has extensive experience advising both issuers and brokers on initial public offerings and secondary raisings in Australia.
Adam’s practice also extends to acting on public and private mergers and acquisitions, and advising on the ASX listing rules, executive remuneration, corporate governance, shareholder activism, shareholder matters and general corporate law issues.
Adam is recognised for his expertise in equity capital markets by Chambers Global and Chambers Asia-Pacific and won Capital Markets Partner of the Year at the 2021 and 2020 Lawyers Weekly Partner of the Year Awards. Best Lawyers 2023 recognises Adam as Equity Capital Markets Lawyer of the Year (Sydney).
Sean Meehan, Senior Lawyer, Gilbert + Tobin
Sean is a senior lawyer in Gilbert + Tobin’s Corporate Advisory group.
Sean specialises in acting on equity capital markets transactions and public and private mergers and acquisitions. He also has extensive experience advising boards and senior management of public companies on securities laws and listing rule compliance matters, as well as on corporate governance matters.
Sean trained and worked at Gilbert + Tobin before spending over four years in London at Latham & Watkins where he gained experience working on cross-border equity capital markets transactions and mergers and acquisitions. Sean re-joined Gilbert + Tobin in 2021.
Alexandra Berry, Lawyer, Gilbert + Tobin
Alexandra is a lawyer in Gilbert + Tobin’s Corporate Advisory Group.
Alexandra’s experience includes acting on private and public mergers and acquisitions, corporate restructures and advising underwriters on equity capital markets transactions. She has advised private and public companies on securities law and corporate governance issues.
