ACC AustraliaAs 2023 unfolds, the market for M+A remains robust. In-house legal teams need to understand the key elements of a public M+A deal, so that they are prepared for the receipt or initiation of a merger proposal by their company.
This webinar, hosted by Gilbert + Tobin’s M+A team in conjunction with ACC Australia, will explore the essential components of a public M+A deal. It will cover:
- deal structures – scheme of arrangement vs takeover;
- pre-deal arrangements;
- implementation agreements (including common points of negotiation); and
- recent trends and issues in public M+A.

Speakers
Justin Mannolini, Partner, Gilbert + Tobin
Justin has a total of 25 years' corporate finance experience as a lawyer and investment banker. He has advised on a wide range of M+A, and equity capital markets transactions across a number of industry sectors including energy + resources, financial services, technology, media + telecommunications, engineering + mining services, food + beverage and real estate.
Justin also advises clients on corporate governance issues including entity formation and structuring, shareholder activism, audit and risk management, directors’ duties and corporate social responsibility.
Justin was named ‘Lawyer of the Year (Perth)’ for Mergers + Acquisitions and Corporate Law 2024 by Best Lawyers Australia. Justin is listed as a Best Lawyer for Corporate Law, Mergers + Acquisitions and Equity Capital Markets Law by Best Lawyers 2024. He is one of four Western Australian lawyers ranked as “Pre-eminent” by Doyle’s Guide in the category of “Corporate Law”.
Justin is the Non-executive Chairman of ASX-listed Jindalee Resources Limited and Dynamic Metals Limited.
Sam Kings, Partner, Gilbert + Tobin

With a focus on public and private mergers + acquisitions, private equity, and equity capital markets, he possesses specialised expertise in these areas.
Sam's in-depth knowledge and experience allow him to navigate complex deal structures, identify key opportunities, and provide strategic guidance throughout the transaction process.
Sam's client portfolio encompasses a diverse range of entities, including listed companies and financial investors operating across multiple industries. His extensive experience working with clients from various sectors has provided him with a deep understanding of the unique challenges and opportunities specific to each industry.
Stephanie Rowan, Lawyer, Gilbert + Tobin
Stephanie is a senior lawyer in Gilbert + Tobin’s Corporate Advisory / M+A group. Throughout her career, Stephanie has advised companies, private equity firms and investment banking firms in connection with a broad range of corporate transactions, including public and private M+A, equity capital markets, debt capital markets (including high yield) and acquisition financing.
Prior to joining G+T, Stephanie was a senior associate at a top-tier law firm in New York. Stephanie is admitted to practice in Victoria and in New York.
