ACC AustraliaHigh profile corporate crises in recent years have shone a spotlight on the role and responsibilities of directors and officers to oversee the management of a range of legal and reputational risks, which might impact both the company and themselves.
This CPD event, which is being hosted by Gilbert + Tobin in conjunction with ACC Australia, will bring inhouse counsel up to speed on recent developments in director and officer duties and liabilities. It will cover:
- a refresher on directors’ duties and D+O liability;
- changing expectations from a range of stakeholders, including investors and the broader community, and the priorities of regulators;
- issues presented by cyber-attacks and data breaches; and
- issues with ‘greenwashing’.

Adam D’Andreti, Partner, Gilbert + Tobin
Adam is a partner in Gilbert + Tobin’s Corporate Advisory group.
Adam specialises in acting on equity capital markets transactions and advising on Australian securities law issues. He has extensive experience advising both issuers and brokers on initial public offerings and secondary raisings in Australia and also regularly acts on public regulated merger and acquisitions transactions and advises numerous ASX-listed boards on directors duties issues both in the context of corporate transactions and more generally.
Adam’s practice also extends to acting on private M&A transactions, advising on the ASX listing rules, executive remuneration, corporate governance, shareholder activism, shareholder matters and general corporate law issues.
Adam’s clients, who include listed companies, all major investment banks operating in Australia and private equity firms, value his strong technical knowledge and innovative and practical approach.
Adam is a Chambers Global and Chambers Asia-Pacific ranked lawyer in the Capital Markets: Equity category, and won Capital Markets Partner of the Year at the 2021 and 2020 Lawyers Weekly Partner of the Year Awards. Best Lawyers 2024 recognises Adam in the Corporate Law, Equity Capital Markets Law, Mergers & Acquisitions Law and Private Equity Law categories.

Alexandra Berry, Lawyer, Gilbert + Tobin
Alexandra is a lawyer in the Corporate Advisory team. She has experience working on a range of complex, market-leading equity capital markets transactions (both primary and secondary and issuer and broker side) as well as private and public mergers and acquisitions and corporate restructures.
Alexandra also has extensive experience advising on complex securities law, foreign investment, corporate governance and compliance matters for clients in the private and public markets.
Catherine Kelso, Partner, Gilbert + Tobin
Catherine is a partner in Gilbert + Tobin's Disputes + Investigations team.
Catherine assists financial services entities through regulatory investigations and enforcement activity. She has acted for banks, insurers and superannuation managers in financial services class actions concerning superannuation and insurance products.
Prior to joining Gilbert + Tobin, Catherine acted as a solicitor assisting the Financial Services Royal Commission, which provided her with a deep understanding of the Government’s regulatory agenda and the approaches of regulators to supervision and enforcement. She advises corporations, General Counsel and Boards in relation to risk, governance and accountability issues. She has undertaken secondments to navigate clients through enforcement investigations and has conducted internal investigations, including in relation to compliance with the Banking Executive Accountability Regime.
Catherine is skilled at navigating the complex demands of responding to and participating in Royal Commissions, public inquiries and compulsory investigative processes. She has acted in a broad range of public law and commercial litigation for government departments and agencies. Her contributions to significant legal matters for the Commonwealth have been recognised through multiple Australia Day Awards including for her role acting in Australia’s successful defence of a multi-billion dollar investor-state arbitration claim challenging world first tobacco plain packaging legislation.
Catherine is recognised in Best Lawyers 2024 in the areas of International Arbitration, Litigation and Regulatory Practice.
