Overview (Program Summary)

General counsel and company secretaries of listed public companies (and other disclosing entities) are tasked with helping their board ensure the company complies with its statutory obligations, including its continuous disclosure obligations. Getting it wrong can have a range of implications for the company and its officers, including suspension from ASX, an ASIC infringement notice, civil and criminal penalties, not to mention the risk of litigation and serious reputational damage. 

This seminar will introduce in-house counsel and company secretaries to Australia’s continuous disclosure framework, and will explore a number of hotspots including: 

  • leaks and lost confidentiality; 
  • upgrades or downgrades to earnings guidance and earnings surprises;  
  • material exposure to ESG issues; and 
  • regulatory investigations or other material events potentially causing financial loss or reputational damage.

Kevin Ko

Kevin Ko, Partner, Gilbert + Tobin

Kevin specialises in mergers & acquisitions, including takeovers (friendly and hostile), schemes of arrangement and private share and asset sale transactions.  

Kevin’s practice extends to advising on equity capital markets transactions, joint venture arrangements, directors’ duties, continuous disclosure, corporate governance, the ASX listing rules and foreign investment regulation.  

Kevin’s work encompasses transactions across a wide range of industries and jurisdictions.  He has successfully represented Australian and offshore clients on transactions in the agribusiness, healthcare, energy & resources, financial services, telecommunications infrastructure, technology, security, and retail sectors.
 

Wes Bainbridge

Wes Bainbridge, Senior Lawyer, Gilbert + Tobin 

Wes specialises in private and public mergers & acquisitions, private equity transactions and general corporate advisory.   

He has a wide range of experience acting for corporates and private equity clients on some of the most significant, complex and novel transactions in the Australian market, across a diverse range of industries and geographies. 

Wes has been recognised as “one to watch” in the Mergers & Acquisitions Law and Corporate Law categories in Best Lawyers Australia. 
 

Daniel MacPherson

Daniel MacPherson, Partner, Gilbert + Tobin

Daniel is a commercial litigator with significant experience in regulatory investigations, class actions and other complex disputes. 

He regularly advises domestic and international clients in relation to large-scale litigation and regulatory investigations, including a range of potential Corporations Act and ASIC Act breaches. 

Daniel regularly acts for ASX listed companies in relation to alleged breaches of their continuous disclosure obligations. 
 

Karina Mandinga

Karina Mandinga, Senior Lawyer, Gilbert + Tobin

Karina is an experienced litigator whose practice focuses on litigation, directors’ and other professional negligence litigation and securities class actions. 
Karina also has a keen understanding of investment strategies and private equity having previously worked as an analyst in a management consulting and private equity firm. 

Karina regularly acts for ASX listed companies in relation to alleged breaches of their continuous disclosure obligations. 

Karina was included on Best Lawyers Australia “one to watch” list for dispute resolution in 2022.
