Join us as we break down the biggest opportunities and challenges that impact in-house counsel when navigating the mergers & acquisitions process. Armstrong Teasdale Partners Crystal Howard and Wakaba Tessier along with Assistant General Counsel Nick Timmons will provide an inside and outside perspective on dealmaking, negotiating and more.
Program Outline:
- Answer the question: Where do you think the biggest opportunities are for in-house counsel to provide value in the deal-making process? What things elevate the best outside counsel from your perspective? (10 minutes)
- Answer the question: How do you decide whether to conduct legal due diligence in-house or using outside counsel? What are the pros and cons for each? (10 minutes)
- Answer the question: How do you coordinate due diligence for a strategic acquirer? What are some pitfalls or things that you believe are often overlooked? (10 Minutes)
- Answer the question: How do you split roles with outside counsel in negotiating definitive agreements? (10 Minutes)
