Listed companies are feeling more and more vulnerable to unsolicited takeover approaches given market dynamics and the greater willingness of financial sponsors to pursue ASX listed entities.  

Boards will expect their company’s inhouse legal teams to do what they can to prepare the company for receipt of a control proposal. 

This webinar, hosted by Gilbert + Tobin’s market leading M+A team in conjunction with ACC Australia, will help in house legal teams to consider, prepare for and understand how respond to both formal offers and unsolicited approaches in relation to takeovers and mergers. 

This session will focus on:

  • developing a takeover response strategy;
  • being prepared for the critical first 48 hours;
  • being alive to continuous disclosure obligations; and 
  • unpacking some of the key strategies and tactics that may be deployed if necessary.

Costas Condoleon

Costas Condoleon, Partner, Gilbert + Tobin

Costas Condoleon is the head of Gilbert + Tobin's Corporate Advisory/M&A group. As one of Australia’s top strategic M&A and securities lawyers, Costas has extensive expertise in mergers and acquisitions, takeovers, corporate and securities law, capital markets, directors’ duties, corporate governance, and listing rules.

Renowned for his involvement in Australia’s most prominent, novel and complex deals, Costas is highly regarded by renowned directories such as Best Lawyers, Chambers Global, Chambers Asia-Pacific, The Legal 500, and IFLR1000.

In addition to his professional accomplishments, Costas contributes to the academic realm as an adjunct member of the Faculty of Law at the University of Sydney. He lectures on Schemes of Arrangements and the Takeovers Panel in the Masters of Laws course of Takeovers and Reconstructions.

Costas holds a Bachelor of Economics and a Bachelor of Laws (Honours) from the University of Sydney, and a Graduate Diploma in Applied Finance from the Securities Institute of Australia. He is also a member of Gilbert + Tobin's Board of partners, further reflecting his commitment to the firm's success.

Sarah Turner

Sarah Turner, Partner, Gilbert + Tobin

Sarah is a partner in Gilbert + Tobin's Corporate Advisory / M+A group.

Sarah’s expertise covers a broad range of commercial matters, including equity capital markets, takeovers, schemes of arrangement, share acquisitions and general corporate advisory and governance work.

Sarah was named 'Lawyer of the Year (Perth)' for Mergers and Acquisitions Law by Best Lawyers Australia in 2021.

Sarah was also listed as a Best Lawyer for Corporate Governance Practice, Corporate Law, Mergers and Acquisitions Law and Equity Capital Markets Law by Best Lawyers Australia 2023. 

Sarah has co-authored and presented numerous papers on global legal issues and directors' duties.
 

Karen Evans-Cullen

Karen Evans-Cullen, Partner, Gilbert + Tobin 

Karen Evans-Cullen has over 20 years of experience as a strategic Corporate / M+A lawyer. She has acted on a number of Australia’s significant strategic corporate transactions, including a range of takeovers, schemes of arrangement, mergers, demergers, acquisitions and divestments, and equity capital raisings.

Karen advises clients on transactions across a broad range of industry sectors and is highly regarded for her ability to deliver innovative solutions to achieve her client’s objectives. She has also established a strong reputation for advising boards and management on corporate governance issues including governance practices and processes, risk management, board effectiveness, continuous disclosure, regulatory investigations, related party transactions, directors’ duties and executive remuneration.

From 2014 to 2023, Karen was a member of the Australian Takeovers Panel, a government appointed peer review body that regulates corporate control transactions in widely held Australian entities.
