Experienced Boards of Directors and management teams have been hearing about a range of corporate governance issues for many years, sometimes decades.  With active administrations taking aggressive positions, and the U.S. Supreme Court and other courts issuing rulings that are changing long-standing practices, what are the corporate governance issues that Boards and management should be paying attention to?  Whether the corporate governance issues relate to the environment, social causes, new technology, constituency representation, or the latest controversy in the news, in-house lawyers are called upon to provide advice on the issues and support the Board and management as they work through the legal, financial, and reputational risks.

The panel will talk through the latest corporate governance hot topics (and those that have faded away), discuss the various views, and provide practical advice on working with your Board and management team on issues such as Board composition, headquarters jurisdictions, AI uses, environmental impact initiatives, social positions, executive compensation, risk management, and other current topics of interest.
