I/We hereby grant to the Association of Corporate Counsel (“ACC”) (a not-for-profit organization whose principal place of business is located 1001 G Street N.W., Suite 300W, Washington D.C. 20001, USA) (and its affiliates) a worldwide, royalty-free, non-exclusive, irrevocable, sublicensable license to publish, display, use and distribute the Resources submitted, in any format (electronic or hard copy), in its entirety and without modification of its content, and through any media (such as website, email or other media), and the right to allow ACC members to use and distribute the Resource internally within their respective organizations. I/We hereby represent and warrants that it has the right to grant this license and that if there are other copyright owners of the Resource, I/We have secured their permission for ACC to publish, display, use and distribute the Resource as contemplated in this form. I/we will indemnify, defend and hold harmless, ACC, ACC’s chapters and other affiliates, and their respective officers, directors, employees and agents, against any and all claims, damages, liabilities, costs and expenses (including, without limitation, reasonable attorney’s fees) arising out of or connected with any claim(s) that the Resource or any of its content (or that ACC’s publication, display, use or distribution of any of the Resource) infringes upon any intellectual property right or other rights of any third party. By submitting this form to ACC, the submitter represents and warrants having authority to bind I/We to these Republication terms. I/We hereby grant to the Association of Corporate Counsel (“ACC”) (a not-for-profit organization whose principal place of business is located 1001 G Street N.W., Suite 300W, Washington D.C. 20001, USA) (and its affiliates) a worldwide, royalty-free, non-exclusive, irrevocable, sublicensable license to publish, display, use and distribute the Resource submitted in any format (electronic or hard copy), in its entirety and without modification of its content, and through any media (such as website, email or other media), and the right to allow ACC members to use and distribute the Resource internally within their respective organizations.
