Before the acquisition of a company in the Netherlands, the buyer often conducts due diligence. Based on these investigations, the buyer will usually request the seller to include warranties and indemnities in the acquisition agreement. It's important for buyers and sellers to define and distinguish between warranties and indemnities. This will help manage expectations of both parties.
