Corporate attorney Elizabeth Tedford and litigator Jonathan Krisko of Robinson Bradshaw will join forces with WakeMed’s Interim Chief Legal Officer Brian Lynde to review the lifecycle of a commercial contract, from drafting and negotiation considerations, through performance and potential later disputes. They will highlight key contractual provisions that can better protect you should a future dispute occur; identify the kinds of deal terms that are frequently ambiguous and give rise to disputes; and discuss how different dispute resolution mechanisms, which often are not the focus of contract negotiations, can impact the ultimate outcome of a commercial dispute.

About the speakers:

Jonathan Krisko, Robinson Bradshaw
Jon represents clients in complex, business-related litigation, which includes health care, government and regulatory investigations, class actions, technology and trade secrets, and product liability matters. His experience includes trials, arbitrations and appeals in federal and state courts.

Jon has represented public and private companies and individuals in high-stakes contractual and commercial disputes. His representations include multiparty cases, and mass and class actions in federal court, bankruptcy court and the North Carolina Business Court. In addition, Jon regularly counsels business clients as outside general counsel and oversees internal and government investigations. Jon serves as the co-chair of the firm's Litigation Department, as well as the chair of its Government and Internal Investigations Practice Group. He also serves on Robinson Bradshaw's board of directors.

Elizabeth Tedford, Robinson Bradshaw 

Elizabeth represents large publicly traded companies, smaller startups and privately held companies, and private equity funds and their portfolio companies in business transactions, focusing on domestic and international mergers and acquisitions and dispositions, and related equity and structuring matters. She also advises clients on a range of other general corporate matters, including drafting and reviewing commercial contracts, and preparing employment-related documents (including employment, severance, bonus, termination and similar agreements), incentive equity arrangements and lease agreements. Elizabeth has counseled multiple clients through large-scale corporate reorganizations and worked closely with clients’ management teams to ensure a seamless transition. She co-chairs Robinson Bradshaw’s Mergers and Acquisitions Practice Group.

Brian Lynde, WakeMed

Brian serves as the interim chief legal officer for WakeMed and its affiliates and subsidiaries. His work covers a comprehensive array of legal issues facing the health system and health care providers, such as health care transactions, patient care, HIPAA and health care regulatory compliance. As in-house counsel, he collaborates extensively with WakeMed departments and providers to understand their processes and business practices and provides advice and counsel on a variety of health care and regulatory matters.
