The Committee on Foreign Investment in the United States (CFIUS) recently released its Annual Report for the calendar year of 2022.  In addition to the trend that CFIUS required mitigation measures in nearly one out of every four unique transactions for which a notice was filed, Singapore has emerged as the new lead investor country in notices.

This program will feature an interactive discussion of national security concerns facing companies today. With today’s ever-changing geopolitical climate, governments and regulators have given increased scrutiny to foreign investments that involve emerging and critical technologies, critical infrastructure, and personal data. Focusing on the areas of mergers and acquisitions, technology/licensing agreements, and real estate/leasing, our expert panel of transactional attorneys will discuss various key provisions in these different types of contracts and how to avoid or mitigate the risks of future disputes and litigation. With a seasoned commercial litigator as moderator, each panelist will identify specific contract provisions in their area of expertise that are often ripe for future disputes, and offer practical, deal-tested examples of effective contract language to mitigate those risks and put your client in the best position to retain the benefits of the contractual bargain in the event of any future dispute. Questions for discussion will include:

  • What to consider when structuring working capital adjustment provisions in acquisition agreements?
