The Association of Corporate Counsel (ACC) is the world's largest organization serving the professional and business interests of attorneys who practice in the legal departments of corporations, associations, nonprofits and other private-sector organizations around the globe.
Following the cessation of the Government’s temporary COVID fiscal and regulatory relief measures, cash flow and solvency issues are once again at the forefront of businesses and boards’ minds.
This session, presented by Gilbert + Tobin’s Banking + Projects team, will explore:
the current state of the insolvency market;
what steps you can take to protect yourself from solvency risks and the risk of counterparty insolvency;
the new small business insolvency reforms, including how they can be used to restructure businesses;
the further reforms proposed by the Government in the Federal Budget; and
what we expect to see in the insolvency market for the rest of 2021
Following a year of economic upheaval, and with an increasingly complex regulatory environment, managing risk is a key part of any corporate transaction.
This webinar, hosted by Gilbert + Tobin’s Corporate Advisory team, will explore a variety of strategies to manage transactional risk, including:
warranty and indemnity insurance;
escrowed amounts and other security arrangements;
different consideration structures; and
break fees and reverse break fees.
The webinar will explore how these arrangements can be used to manage and allocate risk to enable counterparties to get deals done despite uncertainties.
Corporate groups are preparing for a post-pandemic world by restructuring, demerging, refinancing and seeking to incentivise top talent by providing them with a stake in the business. In this environment, it is imperative for in-house lawyers to be able to identify, manage and communicate the risks associated with these transactions to relevant stakeholders. An understanding of the taxation risks arising from these transactions is critical and invariably extends beyond the structuring of these transactions to the careful drafting of the supporting legal documentation.
You are invited to join Gilbert + Tobin’s market leading tax team for a live webinar which will provide an overview of the key tax opportunities and watchouts (and relevant legal drafting considerations) associated with:
various common corporate transactions including top hats, spin offs, recapitalisations, restructures, and employee equity plans; and
financing transactions including characterisation as debt or equity for tax purposes and cross border considerations such as transfer pricing and withholding tax.
This webinar will provide practical guidance which will enable in-house legal counsel to collectively plan for and implement these transactions, while mitigating the risk of any adverse tax outcomes.
Session I - 9:00 a.m. to 10:00 a.m. Financial Services Regulatory and Litigation Update: Where Do We Go From Here?
Industry disruption caused by the pandemic and new technologies are creating unique challenges and opportunities for in-house counsel in financial services. From the new Biden Administration’s focus on expanding the regulatory environment, fair lending protections, as well as artificial intelligence tools making credit decisions, to the inevitable rise in defaults and litigation caused by the pandemic, this is no time to be in the dark.
Break - 10:00 a.m. to 10:30 a.m.
Session II - 10:30 a.m. to 11:30 a.m. Digital Asset Custody Update
Federal regulators (CFTC, SEC, OCC) are beginning to provide guidance around custody of digital assets by financial institutions. While the regulators are signaling that they are open to financial institutions providing digital asset custodial services, they have not provided specific guidance around developing internal compliance programs and best practices for these services. Financial institutions that are exploring establishing a digital asset custodian should ensure they understand (and incorporate) the latest guidance from the relevant federal regulators and the operational and technical requirements of best-in-class digital asset custody. In this session, our team will provide guidance on these developments.

Our presenters will discuss two important issues for our Tasmanian audience.
The first topic is the drafting and enforcement of post-COVID force majeure provisions. Legal counsel are at the forefront of contract interpretation and disputes, and an understanding of the operation of these clauses is critical now more than ever.
The second topic is an outline of what legal counsel need to know regarding the recent updates to the Public Interest Disclosure Regime in Tasmania. This will include a summary of relevant obligations and who they apply to, practical tips to ensure compliance and the consequences of non-compliance.
Both ACC Australia and TAS Government COVID Restrictions and Recommendations will be followed for this event. Should you have any questions regarding these measures please contact Teagan Jones at ausevents@accglobal.com.
There are limited places available for this event - so book now!
This event has been cancelled due to illness, and will be rescheduled for a later date. Please check back soon for new details.
This presentation will provide a discussion on recent legal trends in commercial real estate arising from the COVID-19 pandemic. Specific topics to be addressed will include leasing, acquisitions and dispositions, and general business trends and considerations.
Copyright is King: Critical Lessons and Best Practices
When many of us hear of “copyright protection,” our thoughts turn to music and manuscripts. Yet copyright law is much more expansive and underutilized by almost all industries. At its core, copyright law allows authors of an original work to obtain legal protection and exclusive rights over their creations. But it’s not just for those seeking to entertain or educate. Copyright can be obtained on household items, clothing, toys, tools or any tangible item having a degree of creativity. From the subject matter categories set forth in 17 USC Sec. 102 to specific applications, copyright enjoys strong protection in the United States and further includes the rights and protections, for example, provided by the relatively new Digital Millennium Copyright Act (DMCA). The DMCA provides a whole basket of rights, including the often overlooked rights afforded by using Copyright Management Information (CMI). Join Armstrong Teasdale Partner, Ted Behm, and LifeScan Global Corporation Legal Counsel, Teena Amador, as they discuss critical copyright lessons and powerful best practices for leveraging additional protections with CMI.

2020 was a rollercoaster of a year, and not just for the most obvious reason. The workplace landscape changed in many ways, with employers grappling with “working from home” en masse, fundamental shifts (and then reversions) of how leave entitlements are calculated, determining whether the evolving situation would be sufficient to implement unpaid stand downs, as well as a raft of cases questioning some of the basic concepts of employment, from what it means to be a casual, to what it means to be an employee itself! And then in December, the Federal Government released its most substantive set of proposed changes to industrial relations legislation since the Fair Work Act commenced.
Join our Employment Relations team to discuss what in-house counsel need to be aware of for the coming year in the area of workplace law.
The Latest Developments in Cross-Border Transfers of EU Data
In recent years, the ability to transfer data between the US and EU has been upended. Our panelists will provide a high-level overview of recent developments and their implications, from the Schrems II decision which invalidated the Privacy Shield and the implications of Brexit to recent guidance from the European Data Protection Board and the European Commission’s new draft standard contractual clauses. Presenters, Andrew Baer, Chair, Technology, Privacy & Data Security Practice, Cozen O’Connor and Jeffrey God, Global Data Privacy Lead, Director and Attorney, Qurate Retail Group, will also provide real world examples of how in-house counsel can spot these issues and how to address them.

Agenda:
Session I – 9:00 a.m. to 10:00 a.m. Litigating Complex Legal Issues Under the Scrutiny of Public Opinion presented by Manko, Gold, Katcher & Fox LLP
More and more, Pennsylvania has been the scene of highly visible and controversial projects that have been challenged by opponents before agencies, administrative appeals boards and state and federal courts. With the advent of social media, and real time transmission of testimony through that social media, litigating these issues is more visible and raises many issues, including how to message to both the judge and the wider public audience at the same time, how to limit public interference in those proceedings, how to use social media statements in cross examination of opposing witnesses and how to avoid testimony in one matter being used adversely in other matters, civil and criminal. Using real world examples, this session addresses these and other issues.
Break – 10:00 a.m. to 10:30 a.m.
Session II – 10:30 a.m. to 11:30 a.m. Be an Expert at Experts: Expert Mistakes and How Best to Avoid Them presented by Obermayer Rebmann Maxwell & Hippel
Expert witnesses serve a critical role in litigation, particularly in complex cases. Experts are especially critical in cases where lay witnesses are unable to proffer the evidence necessary for the party to secure a favorable verdict. Notwithstanding an expert’s import, many attorneys make simple mistakes in choosing and presenting the expert, including some which lead to the expert’s disqualification. Disqualification can be fatal to a case, as, at least in federal court, only expert witnesses are permitted to opine as to the case’s ultimate issue.
Break – 11:30 a.m. to 12:30 p.m.
Session III – 12:00 p.m. to 1:00 p.m. presented by Ogletree, Deakins, Nash, Smoak & Stewart, P.C.
