Companies of all sizes are engaged in an effort to make Environmental, Social, and Governance (ESG) factors a part of their businesses in both vision and practice. The impact of personnel policies and practices extend far beyond the “S” portion of ESG. This resource outlines five personnel policies and practices to consider when assessing company ESG priorities and goals.

This 1.5 day event provides 22- hours of CLE programming for you to choose from, which includes 1.0 hour of Ethics, and is specifically designed for you as an in-house attorney.  Our registration format allows you to customize your program schedule to fit your practice needs. Conference registration includes one hotel room ( Early Bird Registration) continental breakfast during Thursday morning check-in, luncheon and Keynote Speaker on Thursday, cocktail reception Thursday evening and a hot breakfast on Friday. Environmental, social and governance (ESG) issues have rapidly emerged as a top priority for companies of all sizes, and organizations are considering forming dedicated ESG teams while simultaneously developing policies focused on climate change risk, responsible use of data, and enhanced social justice, particularly with respect to employee related diversity and inclusion (D&I). Corporate counsel are regularly called upon to undertake ESG integration work by advising the business on ESG objectives, implementation, compliance, and mitigation of attendant litigation and regulatory risks. Bracewell partners Rachel Goldman and David Shargel regularly advise companies on ESG risks and compliance measures, including with respect to enforcement actions and litigation risks.

Please join environmental law firm Beveridge & Diamond for a CLE webinar discussing hot topics in environmental law. As we approach a new year, B&D’s speakers will provide a preview of what in-house counsel can expect to see in 2022 from environmental justice, emerging contaminant litigation, and ESG disclosure requirements, and will provide tips and best practices for steps an organization can take now to be prepared.

ESG considerations are increasingly coming to the forefront in M&A transactions and can lead to reputational, legal and financial risk in addition to compromising a company's ESG strategy. Stakeholders and regulators are requiring greater transparency and accountability for a company's ESG strategy and how acquisitions and other investments are consistent with that strategy.

The session will begin with a brief overview and viewpoints from well-known institutional investors on the ESG landscape; walk through preliminary steps to consider in M&A transactions, including the Board's fiduciary duties and ESG considerations when choosing a target; dive into detail on the acquisition process including ESG-issue spotting in the due diligence review, protecting against ESG risks in transaction documents and the resulting consequences on the valuation of the target; followed by consideration of post-closing matters and regulatory developments relating to ESG issues. The session will wrap up with key takeaways for in-house counsel to keep in mind in this rapidly changing landscape and enable them to effectively advise boards and management of the ESG risks associated with a transaction and how those risks can be addressed and mitigated.
